FOOT OF THE ROCKIES CAT CLUB CONSTITUTION

ARTICLE I -- NAME
Section 1
The name of this organization shall be FOOT OF THE ROCKIES CAT CLUB, INC. hereinafter referred to as the “Club”.
Section 2
The Club shall be incorporated as a non-profit organization under the laws of the State of Colorado.
Section 3
The Club shall be affiliated with the Cat Fanciers' Association, Inc.
ARTICLE II --OBJECTIVES
Section 1
The objectives of the Club shall be:
a. To encourage the breeding to standard of both the longhaired and the shorthaired cats.
b. To hold shows and promote interest in and knowledge of cats through educational activities.
c. To cultivate friendship and common interest among the members.
d. To promote the welfare of all cats and to advance in every way possible the interests of breeders and exhibitors.
ARTICLE III --MEMBERSHIP
Section 1
Persons of good character and reputation in regard to ownership and breeding of cats and who will uphold the objectives of the Club shall be eligible for membership.
Section 2
Membership in the Club shall be designated as Member, Associate Member, or Honorary Member.
a. Associate Membership is for those persons who are under the age of eighteen.
b. Honorary Membership is for those persons the Club wishes to honor.
Section 3
Associate Members may not hold office or vote, but shall have all other privileges of Members.
Section 4
All Members shall be obligated to uphold the objectives of the Club by carefully fulfilling the terms of all transactions concerned with cats, such as sales, stud fees and pedigrees, whether such business is carried on with Members of the Club, or breeders, or the public at large.
Section 5
A Member may be expelled from the Club or otherwise disciplined for cause in accordance with the by-laws.
ARTICLE IV -- ADMINISTRATION
Section 1
The Club shall be administered by a Board of Directors, hereinafter referred to as the Board. The Board shall consist of seven (7) directors which shall include the five (5) officers.
Section 2
The officers of the Club shall be President, Vice President, Secretary, Show Secretary and Treasurer.
Section 3
The term of each officer other than the Secretary and the Treasurer shall be one year. The term of the Secretary and the Treasurer shall be two years. Officers and Directors other than the Secretary and Treasurer, may not serve more than two consecutive terms in the same office.
Section 4
The Officers and the Directors shall be elected from Members in good standing in accordance with the by-laws. To be eligible, Directors other than the Officers must have been regular Members for two (2) years prior to their election.
Section 5
The Board shall have such powers as are prescribed by this Constitution and shall determine all questions of policy and shall administer the affairs of this Club in accordance with the provisions of the by-laws.
ARTICLE V -- DUES
Section 1
The dues of this Club shall be established by the Board and stated in the by-laws.
Section 2
The fiscal year of the Club shall be the calendar year.
Section 3
Dues shall be due and payable January 1 of each year. New Members joining between October 1 and December 31 of any year will be considered fully paid for the following year.
Section 4
Upon failure to pay dues within sixty (60) days after the due date, the delinquent Member shall be automatically dropped from Membership. Notice shall be sent to the delinquent Member by the Secretary at least two (2) weeks before the grace period expires. After the grace period has expired and the delinquent Member wishes to remain a Member of the Club a reinstatement fee of $10.00 will be assessed in addition to the yearly dues.
Section 5
Honorary Members shall be exempt from payment of dues.
ARTICLE VI -- MEETINGS
Section 1
Regular meetings of the Club shall be held as provided in the by-laws.
Section 2
The Annual Election of Officers and Directors of the Club shall be held in November.
ARTICLE VII -- COMMITTEES
Section 1
Standing Committees and special Committees may be appointed by the President, with approval of the Board.
Section 2
Standing committee of the club shall consist of the nomination committee and the show committee. The president shall appoint the chair of each standing committee. When-required Ad-hoc committees shall be established by the Board or appointed by the President to handle specific functions.
Section 3
The duties of the standing and special Committees shall be determined by the Board.
ARTICLE VIII -- AMENDMENTS
Section 1
This Constitution may be amended by a two-thirds majority vote of the Members present and eligible at any regular or special meeting of the Club, provided that the text of the amendment shall have been sent to each Member of the Club in good standing at least ten (10) days prior to the meeting.
ARTICLE IX -- AUTHORITY
Section 1
The Board shall prepare and adopt by-laws that shall govern all procedures under this Constitution, including those of the Board and of the Committees.
Section 2
The by-laws may be amended by an affirmative vote of not less than five (5) Directors present or voting at any meeting of the Board.
Section 3
The text of Amendments to the by-laws must be sent to each Club Member in good standing and becomes effective after sixty (60) days unless a petition signed by a simple majority of the Members in good standing is received by the Club Secretary within that period.
Section 4
The procedures contained in “Robert’s Rules of Order, Revised” shall govern all matters not covered by this Constitution.
