FOOT OF THE ROCKIES CAT CLUB BY-LAWS

Revised January 1,2008

ARTICLE I -- MEMBERSHIP

Section 1
Application for membership, accompanied by first year’s dues and signed by two members in good standing must be sent to the Secretary.

Section 2
The dues of the Club shall be $10.00 per annum for regular members and $5.00 per annum for associate members, payable on January 1st.


ARTICLE II -- MEETINGS

Section 1
Regular meetings shall normally be held the second Wednesday of the month in January, March, June, August and November.  Special meetings may be called at any time by the President, and shall be called upon written request of three or more members.  Meeting shall not be held in the months of club shows or club parties.

Section 2
Meetings of the Board shall be called by the President as needed.

Section 3
Six voting members, including a minimum of two Officers, shall constitute a quorum for the transaction of business at a regular or special meeting.  Four Directors, including a minimum of two Officers, shall constitute a quorum at a Board meeting.


ARTICLE III -- ELECTIONS

Section 1
The Officers, except for Secretary and Treasurer, and two directors shall be elected by ballot at the Annual Meeting.  Secretary and Treasurer shall be elected only in odd number years.  The elected Officers shall take office at the Regular meeting in January.  One delegate to the Cat Fanciers’ Association Annual member meetings shall be elected by ballot at the March meeting.

Section 2
Nominations for each elected position shall be made by a nominating committee which shall consist of one (1) club member and one (1) director appointed by the President, and shall be indicated to the membership in the notice of the Annual meeting.

Section 3
The outgoing President shall have the option of assuming one of the vacant Director positions.

Section 4
A vacancy occurring in any office or Director position shall be filled by the Board for the remainder of the term.

Section 5
If any officer or Director misses three consecutive meetings without valid reason, as determined by the Board of Directors, they shall be removed from office.


ARTICLE IV -- OFFICERS AND DIRECTORS

Section 1
The President shall be the chief executive officer and Chairperson of the Board and shall preside at all meetings and shall perform all duties consistent with the office.  The President shall be a member ex-officio of all committees and shall appoint such committees as shall be necessary.

Section 2
In the absence of the President, the vice-president shall perform the duties of that office.

Section 3
The Secretary shall be the recording and corresponding officer.  The Secretary shall keep records of all meetings and minutes and distribute them to membership either by e-mail or USPS mail, shall keep a roll of members with addresses and shall inform applicants of election of membership by mail.  The Secretary shall receive all dues and forward same to the Treasurer.

Section 4
The Show Secretary shall perform all the duties as stated in the current CFA show rules pertaining to Show Secretary.

Section 5
The Treasurer shall receive and have custody of all moneys and shall deposit same in a bank account in the name of the Club.  The Treasurer shall keep an account of all receipts and expenditures and must submit at each regular meeting a detailed financial report.  The Treasurer shall prepare special financial reports at the boards request.  The Treasurer shall hold all records for a period of seven years.  A financial audit shall be done every two years, by special committee appointed by the President

Section 6
The Club Delegate shall carry out and perform all duties pertinent to the CFA Annual member meeting.  The Delegate will supply the Club with a written and oral report after the Annual member meeting.  A stipend of $250.00 shall be paid to the delegate.


ARTICLE V -- DISCIPLINE

Section 1
Members who have been permanently or temporarily suspended from receiving CFA services as the result of a disciplinary hearing shall automatically be expelled from membership in FRCC.  Members on probation from CFA services may reapply for membership in FRCC upon completion of their temporary suspension.

Section 2
Any member who is shown to have conducted themselves in a manner that is detrimental to the objectives of FRCC, welfare of cats in general, may be expelled, suspended from privileges, or reprimanded by a two-thirds (2/3) vote of the Board.

Section 3
Charges against any member shall be made in writing with notarized signature of the accuser(s), and shall be delivered to the Secretary in person or by registered mail.  A copy of the charges shall be furnished to the accused at least fifteen (15) days prior to the date of the Board meeting at which the charges are to be considered.  No oral or anonymous charges will be considered.

Section 4
A notice of an appeal must be made within 60 days to the membership at a regular meeting of the Club regarding a disciplinary ruling of the Board.  A hearing may be requested for the next regular meeting of the Club, a two-thirds majority vote of all regular voting members present and eligible shall be binding on all parties.  This vote shall be by secret ballot.


ARTICLE VI -- AMENDMENTS

Section 1
These by-laws may be amended as provided in the Constitution.


ARTICLE VII - VOTING

Section 1
In order to protect the voting rights of all regular members, the following methods of voting shall be adopted:

a.  A “Show of hands” at a meeting, as defined by Robert’s Rules of Order, Revised.

b.  A Secret Ballot at a meeting.

    1.  Members voting by secret ballot at a meeting shall mark their ballots and fold them for placing in the container provided.  The President shall appoint two regular members to then count the votes.

c. Secret Ballot when absent.  (Used only for election of Officers, Directors, and amendments to these by-laws.)

    1.  All members in good standing who cannot be present may cast their vote by mail.  Such a ballot is to be sealed in an envelope clearly marked with the word “Ballot.”  The ballot shall not contain the name of the voting member.  The envelope shall show the name and address of the member.  The ballot shall be mailed to the Secretary, or to the person appointed to be “Election Clerk” so that it will arrive no later than the day preceding the meeting.  The Secretary or Clerk shall take the sealed ballot to the meeting for inclusion in the balloting.  Secret ballot when absent shall not be accepted for appeals of disciplinary action by the Board.

d. Proxy Voting

    1.  All members in good standing may give to another member his or her proxy agreement in writing to be cast as a Proxy vote in the event of absenteeism due to personal or family illness, being out-of-town or because of illness of a cat or cats owned by a member.  Proxy agreements shall be presented to the club officials upon request but shall not become the property of the club.  Proxy votes shall not be accepted for election of Officers, Directors, or Amendments to the by-laws, appeals of the Board disciplinary actions, but may be used for voting on routine matters.

e.  The Board or the President may appoint an Election Clerk.


ARTICLE VIII -- DISSOLUTION

Section 1
This club shall not be disbanded as long as six members of the Board vote to continue.

Section 2
In the event of dissolution of this club, the Board shall meet and after paying all bills, shall audit the accounts and inventory the club property.  Any credit balances of money shall be forwarded to the Treasurer of the Cat Fanciers’ Association, Inc. or deposited in a savings account in the name of the club.  If the club has not been reactivated after five years of dissolution of this club, all club properties shall be liquidated and all moneys shall become the property of the Cat Fanciers’ Association, Inc., such as the Board of Directors of CFA may decide provided use is deemed in the best interest of the Cat Fancy, such as, but not limited to Veterinary Scholarships or Feline Research.


ARTICLE IX -- PROPERTIES AND MONEYS

Section 1
All properties and moneys belonging to the club shall be the property of the membership as a whole and no individual member shall be deemed to have any separate interests herein.

Section 2
All checks in payment of authorized bills under $700.00 shall be signed by any one of Treasurer, Secretary, or President.  All checks in payment of authorized bills of $700.00 or more shall be signed by any two of the above Officers.  All the above Officers shall be bonded.  Checks will not be issued without receipts, written statements, or vouchers.
